DEDTOTO DIGITAL ASSET LICENSE

Individual Commercial License Version 1.1 Effective date for new purchases: September 13, 2026

1. Subject matter and parties

This license governs the use of the digital materials included in the specific dedtoto product identified in the order: LUT files, color profiles, overlays, textures, graphic assets and accompanying documentation, referred to as the “Materials”.

The licensor is the rights holder or a person authorized to grant the relevant rights, operating under the dedtoto brand. Identification and contact details are provided in “Seller information and contact”, available before placing a purchase. If the seller and licensor differ, their roles must be identified separately.

This license applies to the Materials identified in the product and does not grant rights to the entire dedtoto portfolio, its independent works or separately distributed products.

2. Commencement, duration and territory of the right

For a paid product, the license is granted after full payment of the relevant order has been confirmed and is governed by the version presented to and accepted by the purchaser during checkout. A free sample or separately agreed provision is governed by the terms expressly stated for it; having access to a file does not in itself establish a license.

The license is non-exclusive, non-transferable, for one user, worldwide and perpetual, subject to compliance with its terms. No repeat or recurring payment is required to use the purchased product under this license.

An unlimited period of use of the Materials does not mean indefinite retention of a download link, provision of future products or optional updates. Expressly promised features and mandatory legal rights remain unaffected.

3. One user, devices and organizations

If the purchaser is an individual, the purchaser is the licensed user. An organization may purchase an individual license for one identified person working on its behalf. Purchasing one license does not grant independent access to the Materials to the entire team.

The licensed user may use the Materials on work devices they own or control and make backup copies for their own work. Sharing files with other employees, contractors or clients for their independent use requires separate licenses or a separate written agreement with dedtoto.

Special terms for teams or studios apply only when actually offered and agreed. This license does not itself promise the availability of a separate plan or product.

4. Permitted finished projects

The Materials may be used in an unlimited number of personal and commercial finished projects: videos, films, advertising, music videos, photographs, social media publications, client work and branded work.

Finished works may be published, displayed, broadcast, monetized, sold and delivered to clients. Credit to dedtoto is not required unless expressly agreed otherwise for the specific product before purchase.

The purchaser’s own completed photographs and video works may be sold on stock platforms provided they do not amount to republication of the source asset or a standalone replacement for it. For example, a finished film with a LUT applied is permitted; selling the source texture, an isolated overlay or a virtually unchanged copy of it as a finished work is not permitted.

5. Client work and editable projects

Finished rendered videos, images and other completed media works may be delivered to a client without the client purchasing a separate license for the tool used.

Delivering the source Materials, their modified files or copies embedded in an editable project that can be independently extracted and reused to a client or another contractor is not permitted. When handing over a project, exclude those files or replace the relevant elements with rendered media. The recipient needs their own license to work independently with the source Materials.

Ordinary publication of a finished video or photograph is not a prohibited transfer merely because a viewer can save a screenshot. The restriction concerns delivery of the asset itself or its functional replacement.

6. Modification and technical processing

The Materials may be modified and adapted for the user’s own licensed workflow: adjusting intensity, opacity, blending mode, scale, cropping, color parameters, speed, duration and other application parameters. Format conversions and adaptations to supported software necessary for that work are permitted.

Modification does not transfer exclusive rights in the source Materials to the purchaser or permit distribution of the modified asset to others.

7. Prohibition on distribution of source assets

Without separate written permission, it is prohibited to sell, resell, give away, exchange, rent, sublicense, make available for download or otherwise provide the source Materials or their modified versions for independent use by third parties.

The prohibition covers paid and free packs of LUTs, presets, filters, overlays, templates, plugins, libraries, educational downloads, applications, services and other products from which the source asset or a standalone replacement for it can be obtained. The product’s name, a change of packaging or the means of transfer does not remove this restriction.

Private backups in personal cloud storage are permitted. Processing in a secure cloud service is permitted only for the user’s authorized work, provided it does not give other users independent access to the Materials and the service’s terms do not require rights beyond the scope of this license.

8. Derivative assets and extraction

Within the limits of applicable law, the Materials may not be used as a source basis for creating standalone digital assets for distribution, including through transformation, measurement, extraction, reconstruction or incorporation of their data into a replacement product.

This restriction does not prohibit technical processing for permitted work under “Modification and technical processing”, independent creation of the user’s own materials not derived from dedtoto Materials, or acts that applicable law mandatorily permits regardless of contract.

9. Machine learning and datasets

Without separate written permission, the source Materials and their derivative asset files may not be used in training datasets, for training or further training models, or in systems for extracting and reconstructing standalone digital assets, except where applicable law does not allow the relevant use to be prohibited.

Ordinary processing of a permitted finished project by software with AI features does not in itself violate this section. It does not grant a machine learning service any additional rights in the source Materials.

10. Retention of rights and authorship

The purchaser receives the usage rights provided by the license. Exclusive rights in the protected Materials, authorship and rights to distribute the source assets are not transferred.

The purchaser may not claim authorship of dedtoto’s source Materials, present them as an independently created asset, remove rights information to conceal unlawful distribution, or register the source Materials or versions with only minor modifications as their own standalone product. Claiming authorship of the purchaser’s own finished work is permitted.

This purchase does not transfer rights in dedtoto’s independent past and future works, tools or other results belonging to dedtoto. The license does not give the purchaser exclusivity over a general style or creative direction and does not claim exclusive rights for dedtoto in unprotected ideas, methods or technical principles.

11. The purchaser’s finished works

Using the Materials does not grant dedtoto ownership or exclusive rights in the purchaser’s independent finished work. Rights in that work remain with the purchaser or the respective rights holders.

The license does not automatically authorize dedtoto to publish client work, use it in advertising or represent a collaboration as a brand endorsement.

12. Compatibility and results

The contents, formats, input color profiles, supported software and limitations of a specific product are stated on its product page and in its documentation. This information must correspond to the product’s actual features.

The visual result depends on the source material, exposure, white balance, color space, color management, software and settings. An identical result for every source image or configuration is not promised. This does not exclude obligations regarding stated compatibility, quality, completeness or conformity with the description.

Third-party software names, company names and trademarks are used to indicate compatibility or context. Unless expressly stated, they do not imply official collaboration or endorsement of the product.

13. Transfer of the license

The license may not be independently sold, gifted, assigned or transferred together with a computer, account, storage device, business or project, except as provided by a separate agreement or mandatory law.

Delivering a permitted finished work to a client is not a prohibited transfer of the source asset license.

14. Material breaches

In the event of a material breach, the licensor may use remedies provided by law, including termination of the right of use. If the breach can be remedied, the licensee receives notice describing the breach and a reasonable period to remedy it, except where applicable law permits necessary immediate measures.

Consequences must be proportionate to the breach. Termination of the license does not create arbitrary penalties or obligations not provided for by contract and law.

15. Termination of the purchase and previously created works

Refund procedures and mandatory purchaser rights are governed by the terms of sale, the refund policy and applicable law.

If termination of the contract or a full refund terminates the license, new use of the Materials must stop and source and working copies must be deleted to the extent lawfully required, taking account of mandatory retention and the protection of lawful claims. A partial refund does not in itself terminate the entire license.

Finished works lawfully created before the license ended may continue to be used and distributed within the previously permitted scope. This does not permit sharing the source Materials or legitimize works that were created in breach of the license from the outset.

16. Mandatory rights and separate terms

Nothing in this license overrides mandatory consumer rights, statutory exceptions to intellectual property rights or other rights that cannot be excluded by contract.

Separate product terms apply if clearly presented and agreed before purchase; they cannot quietly restrict rights already promised. If a provision is unenforceable, the others continue to apply to the extent they can operate independently and the law permits.

17. Version and contact

The version of the license and applicable product terms presented and accepted at purchase is retained for the specific order. Publishing new text does not in itself change an earlier purchase.
